Terms of Service

The Studio Directory provides an online business listing and discovery platform for yoga studios, pilates studios, fitness-related studios, wellness businesses, and other approved business categories.

Features may include:

• •Business listing pages
• •Search and discovery tools
• •ZIP-code-based visibility
• •Subscription-based placement or enhanced listing features
• •Business descriptions, photos, contact links, and profile information
• •Paid visibility tiers
• •Other platform features we may add, modify, or remove over time

We reserve the right to change, limit, suspend, replace, or discontinue any part of the platform at any time.

You may use the platform only if you:

• •Are at least 18 years old
• •Have authority to represent the business you are listing
• •Provide accurate and lawful information
• •Agree to comply with these Terms
• •Use the platform only for lawful business purposes

You may not submit a listing for a business you do not own, manage, represent, or have permission to list.

You are responsible for:

• •Maintaining accurate account information
• •Keeping login credentials secure
• •All activity under your account
• •Ensuring your listing content is accurate, lawful, and up to date
• •Promptly notifying us of unauthorized account use

We are not liable for losses caused by unauthorized access resulting from your failure to protect your credentials.

Paid subscriptions are billed through Stripe.

By purchasing a subscription, you authorize us and Stripe to charge your selected payment method for recurring subscription fees, applicable taxes, and any other charges associated with your selected plan.

Subscription terms may include:

• •Monthly recurring billing
• •Automatic renewal unless canceled
• •Tier-based listing features
• •Paid visibility or ranking benefits
• •Access to premium listing options

Stripe's services are governed by Stripe's own terms, policies, and privacy practices. Stripe publishes its own legal terms and privacy materials for users and businesses.

You may cancel your subscription through your account dashboard, Stripe billing portal, or by contacting us at sales@wrightflow.ai.

Unless otherwise stated:

• •Cancellations take effect at the end of the current billing period
• •You will retain paid features until the billing period ends
• •We do not prorate partial billing periods
• •Canceling does not automatically entitle you to a refund
• •Your listing may be downgraded, hidden, removed, or converted to a free listing after cancellation

All payments are generally non-refundable.

We may issue refunds only at our sole discretion or in limited cases such as:

• •Duplicate charges
• •Clear billing errors
• •Technical errors caused directly by our platform that prevent access to paid features
• •ZIP-code Elite exclusivity conflicts, as described below

We do not provide refunds based on lack of leads, lack of traffic, lack of business results, user error, failure to use the platform, dissatisfaction with ranking, or cancellation after renewal.

Certain paid plans may offer ZIP-code-based exclusivity or priority placement.

If you purchase an Elite tier that includes ZIP-code exclusivity:

• •Exclusivity applies only to the specific ZIP code selected and approved
• •Exclusivity does not guarantee traffic, leads, bookings, revenue, search engine rankings, or business growth
• •Exclusivity applies only within The Studio Directory platform, not Google, social media, maps, directories, or any third-party platform
• •We may verify eligibility before activating exclusivity
• •Only one Elite listing may be permitted per ZIP code where exclusivity is offered
• •If two businesses purchase the same exclusive ZIP code due to technical error, timing conflict, or administrative mistake, our maximum liability is limited to refunding the affected Elite subscription payment for the conflicting billing period

We reserve the right to determine how ZIP-code conflicts are resolved.

You are solely responsible for all content submitted to your listing, including:

• •Business name
• •Address
• •ZIP code
• •Contact information
• •Service descriptions
• •Photos
• •Logos
• •Testimonials
• •Claims
• •Pricing
• •Promotions
• •Credentials
• •Certifications
• •Availability
• •Links

You agree that your listing content will not be false, misleading, unlawful, defamatory, infringing, obscene, discriminatory, deceptive, or otherwise inappropriate.

We may edit, reject, suspend, downgrade, or remove any listing or content at our sole discretion, with or without notice, especially if we believe it violates these Terms, harms the platform, misleads users, or creates legal risk.

Removal of a listing for violation of these Terms does not entitle you to a refund.

By submitting listing content, you grant WrightFlow AI LLC a non-exclusive, worldwide, royalty-free license to use, display, reproduce, publish, resize, format, distribute, and promote that content in connection with The Studio Directory.

This license allows us to:

• •Display your listing publicly
• •Show your business in search results
• •Use uploaded photos, logos, and descriptions on listing pages
• •Promote the platform using publicly submitted listing content
• •Format your content for mobile, desktop, search, advertising, or platform improvements

You represent that you own or have the necessary rights to all content you submit.

You remain responsible for claims related to content you provide.

You may not use the platform to:

• •Submit false or misleading business information
• •Impersonate another business or person
• •Upload content you do not have permission to use
• •Violate intellectual property rights
• •Scrape, copy, reverse engineer, or exploit the platform
• •Interfere with platform security or performance
• •Attempt unauthorized access to accounts, databases, or systems
• •Use automated bots or scripts without permission
• •Submit spam, scams, malware, or deceptive links
• •Harass, abuse, defame, or harm others
• •Use the platform for illegal activity

We reserve the right to suspend or terminate accounts that violate these rules.

The Studio Directory relies on third-party services, which may include Stripe, Supabase, Bolt, StackBlitz, hosting providers, authentication providers, analytics tools, email tools, automation tools, and other infrastructure providers.

Supabase provides authentication, database, and backend infrastructure services, with its own published privacy and legal terms. Bolt/StackBlitz provides web app building, deployment, and related infrastructure tools.

We are not responsible for:

• •Stripe outages
• •Supabase outages
• •Bolt, StackBlitz, or hosting outages
• •Third-party bugs
• •Third-party billing issues
• •Third-party data practices
• •Third-party security failures
• •Changes to third-party platforms
• •Losses caused by third-party services

Your use of third-party services may be subject to their own terms and policies.

We aim to keep the platform available, but we do not guarantee uninterrupted or error-free operation.

The platform may experience:

• •Downtime
• •Bugs
• •Maintenance
• •Hosting issues
• •Database issues
• •Payment processor issues
• •Search or ranking errors
• •Display errors
• •Data syncing delays
• •Third-party service disruptions

We are not liable for lost revenue, lost leads, lost customers, lost exposure, or other damages caused by downtime, bugs, maintenance, or service interruptions.

We may modify the platform at any time, including:

• •Pricing
• •Subscription tiers
• •Listing features
• •Search logic
• •Ranking logic
• •ZIP-code exclusivity rules
• •Free and paid plan limits
• •Platform design
• •Categories
• •Eligibility requirements

Changes may apply immediately unless otherwise stated.

Continued use of the platform after changes means you accept those changes.

The Studio Directory platform, design, branding, structure, layout, software, database organization, copy, graphics, workflows, and related materials are owned by WrightFlow AI LLC or its licensors.

You may not copy, reproduce, resell, clone, scrape, reverse engineer, or create a competing service using our platform structure, design, data, or content without written permission.

Your business content remains yours, subject to the license you grant us to operate and promote your listing.

We may suspend, restrict, downgrade, or terminate your account or listing at any time if:

• •You violate these Terms
• •Your payment fails
• •You submit false or misleading content
• •Your business appears fraudulent, inactive, or inappropriate
• •You misuse the platform
• •Your listing creates legal, operational, reputational, or security risk
• •We discontinue the service or relevant business category

We are not required to provide advance notice before suspension or termination.

If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to suspend your account, remove your listing, revoke paid features, and block future purchases.

If a chargeback is resolved in our favor, you may be responsible for any related fees, costs, or unpaid amounts to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless WrightFlow AI LLC, its owners, members, employees, contractors, vendors, affiliates, and service providers from any claims, damages, liabilities, losses, costs, or expenses arising from:

• •Your use of the platform
• •Your listing content
• •Your business operations
• •Your violation of these Terms
• •Your violation of any law or regulation
• •Your violation of another party's rights
• •False, misleading, or infringing content you submit
• •Claims made by your customers, clients, competitors, or third parties

Use of The Studio Directory does not create a partnership, joint venture, employment relationship, franchise relationship, agency relationship, or endorsement relationship between you and WrightFlow AI LLC.

A listing on the platform does not mean we verify, certify, endorse, guarantee, or recommend your business.

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

Any dispute arising from or related to these Terms, The Studio Directory, or WrightFlow AI LLC shall be brought in the state or federal courts located in Georgia, unless otherwise required by applicable law.

You consent to personal jurisdiction and venue in Georgia.

We may update these Terms at any time. Updates will be posted with a revised "Last Updated" date.

Continued use of the platform after changes are posted means you accept the updated Terms.
